Co-founders of the limited liability companies(LLC), manage and represent the company as directors. In contrast, by the company agreement or the decision of the general assembly of shareholders, the company’s management and representation can be left to third party directors who are not shareholders of the LLC. Besides these legal authorization and duties, Turkish Commercial Code foresaw criminal liability provisions for limited liability company directors. Some of these crimes only require judicial fine while others require both judicial fines and imprisonment. As a result of certain acts, membership of directors may also be cancelled from the chamber of commerce. However, in practice, most of the limited liability company directors don’t know this aspect of the issue, thus, by intention or fault, these directors may be the perpetrator of criminal responsibility. So, in this study, we aim to examine the criminal responsibility of limited liability company directors according to Turkish Commercial Code.
